Daniel Kalansky is a lawyer with strong experience in negotiating complex and strategic disputes. Has been involved in the largest corporate litigation and enforcement cases in Brazil defending the interests of listed companies, investment funds, financial institutions, auditors and senior corporate officers. He advises on international asset recovery cases and assists clients on tailored and innovative special situations transactions and litigation finance matters.

He participated in several acquisition projects for companies in Brazil, corporate reorganizations and structuring of several transactions and products in the financial and capital market. He worked as an international associate in New York for Holland Knight LLP and Covington & Burling. He is an arbitrator at the Market Arbitration Chamber (CAM) of the Brazilian Stock Exchange (B3), focused on corporate disputes.

Daniel is a professor of corporate law in the LLM program at Insper. He has a master and PHD in Commercial Law from the University of São Paulo – USP and is a former president of the Instituto Brasileiro de Direito Empresarial – IBRADEMP, one of the leading international institutions dedicated to the study of Brazilian legal issues.

He is the author of the book (1) “Enforcement Proceeding and Capital Market – Case law and Trends”, which presents an unprecedented analysis of the Brazilian SEC’s main trends and enforcement; (2) “Stock-for-Stock Exchange Transactions – Case Study and Precedents”; and (3) “Appraisal Right and Fair Value as Investor Protection: The Needed Reform”. He also co-wrote and coordinated the book: “Corporate Law: Current Aspects of the Brazilian and Compared Corporate Law” and the book “International Business Transactions with Brazil”.

 

Felipe Vieira has more than 15 years of experience in complex cases, having worked in several transnational insolvency procedures and in the elaboration and execution of a global strategy for the recovery of misappropriated and/or hidden assets through onshore/offshore structures. Felipe Vieira has a Post-Graduate in Procedural Law (IBDP), Post-Graduate in Business Law (UEL), Master of Laws (LLM) in Corporate Law (INSPER), and is a member of the Judicial Recovery and Bankruptcy Committee of the OAB/SP, guest professor at TMA – Turnaround Management Association, speaker at national and international events and author of articles in the field of international insolvency.
